PHOTO RELEASE

By volunteering with Traffick911, I give permission to use my name, likeness, pictures, and/or voice in connection with still photography, in print materials, a promotional video, Traffick911 website, Traffick911 Facebook page, or any other purpose in furtherance of Traffick911 mission. Traffick911 will own any and all rights in such still photography, print materials, promotional video, or any other medium used in the furtherance of the purpose. My consent is granted with the understanding that Traffick911 has the sole discretion to cut and edit the film, video, or voice recording of my appearance. I specifically waive the rights of privacy, publicity, personal right or other rights I may have and any objections to any use made of such still photography, print materials, promotional video, and/or any other medium used containing my name, likeness, pictures, and/or voice in perpetuity and throughout the world. I release Traffick911, its officers, directors, employees, and volunteers from all liability in connection with the Purpose.

NON-DISCLOSURE AGREEMENT

This Agreement is continuing in nature and the confidentiality and non-disclosure provisions of this Agreement continue in full force forever, even after the collaborative relationship of the parties has ceased. For the purposes of this Agreement, “Confidential and Proprietary Information” shall mean all information or data related to the TRAFFICK911 business that is designated as confidential and proprietary or that, by the nature of the information or the circumstances surrounding its disclosure, should in good faith be treated as confidential and proprietary and shall remain the property of the TRAFFICK911. Confidential and Proprietary Information further without limitation includes all oral and/or written communications of TRAFFICK911 concerning programming and campaigns and the location and details of Traffick911. If any such Confidential and Proprietary Information is to be transferred to any person/entity outside TRAFFICK911 organization such Confidential and Proprietary Information and such transfer must be authorized in writing by either TRAFFICK911 Executive Leadership or a board member. Notwithstanding the foregoing, the signer of this document shall not be bound by the confidentiality obligations hereof with respect information which (i) was in the public domain at the time of disclosure; (ii) becomes publicly available through no fault of the signer; (iii) was in the signer’s possession, free of any obligation of confidence, at the time of receipt of the information from the other party; (iv) was independently developed by employees or agents of the signer, without reverse engineering barred by this Agreement or applicable law, and without reference to any of the information disclosed in confidence. The signer agrees to exercise the highest degree of care in safeguarding the Confidential and Proprietary Information against loss, theft, or inadvertent disclosure, and agrees generally to take all steps necessary to ensure the maintenance of confidentiality. Unless expressly authorized in writing by the Disclosing Party, the Receiving Party agrees to retain the Confidential Information in confidence and shall not copy or disclose the Confidential Information to or use the Confidential Information for the benefit of any third party. Confidential Information shall only be disclosed to the Receiving Party’s client and, even then, only to the extent that such client has a specific need to know of the Confidential information, for the evaluation of the proposed collaboration. Before receiving any part of the Confidential Information, Receiving Party’s client/employer/employees shall be required to read this Nondisclosure Agreement and, by receiving such Confidential Information, such client shall acknowledge and agree to abide by the Receiving Party’s obligations hereunder. Each party shall agree upon the request of the Disclosing Party to return to the Disclosing Party all Confidential Information and supporting documentation provided to the Receiving Party. Receiving Party shall retain one copy of such documentation for archival/legal purposes. Term.

LIABILITY WAIVER

I hereby waive and release, indemnify, hold harmless and forever discharge TRAFFICK911 including its agents, employees, officers, directors, affiliates, successors and assigns (hereinafter, the "Released Parties"), of and from any and all claims, demands, debts, contracts, expenses, causes of action, lawsuits, damages and liabilities, of every kind and nature, whether known or unknown, in law or equity, that I ever had or may have, arising from or in any way related to my participation in any of the events or activities conducted by, on the premises of, or for the benefit of, TRAFFICK911, provided that this waiver of liability does not apply to any acts of gross negligence, or intentional, willful or wanton misconduct. I understand that the activities and functions in which I participate may be considered (but do not have to be) of a volunteer nature, or for the benefit of a 501(c)(3). On behalf of myself, my heirs, assigns and next of kin, I waive all claims for damages, injuries and death sustained to me or my property, that I may have against the aforementioned Released Parties. By this Waiver, I assume any risk, take full responsibility, and waive any claims of personal injury, death or damage to personal property associated with my work as a volunteer on behalf of TRAFFICK911 including any activities related to TRAFFICK911. This waiver and release contains the entire agreement between the parties, and supersedes any prior written or oral agreements between them concerning the subject matter of this waiver and release. The provisions of this waiver and release may be waived, altered, amended or repealed, in whole or in part, only upon the prior written consent of all parties. The provision of this waiver and release will continue in full force and effect even after the termination of the activities conducted by, on the premises of, or for the benefit of TRAFFICK911, whether by agreement, by operation of law, or otherwise. I have read, understand and fully agree to the terms of this waiver and release. I understand and confirm that by signing this waiver and release I have given up considerable future legal rights. I have signed this Agreement freely, voluntarily, under no duress or threat of duress, without inducement, promise or guarantee being communicated to me. My signature is proof of my intention to execute a complete and unconditional waiver and release of all liability to the full extent of the law. I hereby certify that I am 18 years of age or older, mentally competent to enter into this waiver, and have read the above carefully before signing.
